COGNITIVE DIAGNOSTICS SOLUTIONS TERMS OF USE FOR USERS

These terms and conditions of use (“Terms of Use”) govern your use of our online interfaces and properties (e.g., websites and mobile applications) owned and controlled by Cognitive Diagnostic Solutions, Inc. (referred to as “Cognitive Diagnostic Solutions,” “we,” “us,” and “our”), including www.cognitivediagnosticssolutions.com and any future websites or applications (collectively, the “Site”), as well as the services, resources, and products available to users through the Site (collectively, the “Services”). The terms “you” and “your” refer to you and any other person accessing your Cognitive Diagnostic Solutions account or visiting the Site.

Your acceptance of, and compliance with, these Terms of Use is a condition of your use of the Site and Services. By clicking “accept” or otherwise using the Site, you acknowledge that you have read, understand, and accept all terms and conditions contained within these Terms of Use. If you do not agree to be bound by these Terms of Use, you are not authorized to access or use the Site or Services; please exit the Site immediately.

Binding Arbitration
These Terms of Use provide that all disputes between you and Cognitive Diagnostic Solutions that in any way relate to these Terms of Use or your use of the Site will be resolved by BINDING ARBITRATION. ACCORDINGLY, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under these Terms of Use. Your rights will be determined by a NEUTRAL ARBITRATOR and not a judge or jury, and your claims cannot be brought as a class action. Please review the Section below entitled Dispute Resolution; Arbitration Agreement for details regarding your agreement to arbitrate any disputes with Cognitive Diagnostic Solutions.

The Site and Services are not intended for medical emergencies. You should not disregard or delay seeking professional medical advice based on anything that appears or does not appear on the Site. If you are experiencing suicidal or self-harm thoughts or tendencies, you should immediately call the National Suicide Hotline at 1-800-273-8255.

Cognitive Diagnostic Solutions may be able to provide support in certain crises, depending on the options available to the user. Log in and navigate to the Support Resources section of the Site, or otherwise call the National Suicide Hotline at 9-8-8.

You should seek emergency help or follow-up care when recommended by a licensed provider or when otherwise needed.

1. Services

Cognitive Diagnostic Solutions, Inc. provides online resources, assessments, and educational tools related to cognitive diagnostics and mental wellness (“Services”) to Users who access our Site, www.cognitivediagnosticssolutions.com. These Services are non-clinical in nature and are intended for informational, educational, and self-guided purposes only.

All Services are accessed on the Site. Users may have access to some or all features depending on the type of account or eligibility.

A. Non-Clinical Educational and Assessment Services

Cognitive Diagnostic Solutions does not provide telehealth, clinical, medical, or therapeutic services. Our platform may include self-assessment tools, questionnaires, educational materials, and guidance on cognitive or mental wellness topics (“Assessment Services”), but these do not constitute medical advice, diagnosis, treatment, or therapy.

All information, tools, and recommendations provided through the Site are for informational purposes only. Cognitive Diagnostic Solutions makes no guarantees regarding the accuracy, completeness, or applicability of any information provided. You should always consult a licensed healthcare professional regarding any medical, mental health, or cognitive concerns.

B. Self-Guided Resources

Users of the Site may have access to self-guided resources such as guides, worksheets, articles, and interactive tools. These resources are intended to support learning, awareness, and personal development and are not a substitute for professional care.

C. Crisis and Emergency Disclaimer

Cognitive Diagnostic Solutions does not provide emergency services or crisis intervention. If you are experiencing a medical or mental health emergency, including suicidal thoughts or self-harm tendencies, you should call 911 or the National Suicide Hotline at 1-800-273-8255 immediately. Our platform is not a replacement for clinical support in crisis situations.

D. Site Content and Use

All materials available on the Site, including but not limited to text, graphics, questionnaires, assessments, videos, and other educational content (“Site Content”), are provided “as is”. You agree that your use of Site Content is at your own risk. Cognitive Diagnostic Solutions, its affiliates, licensors, and business partners do not warrant or guarantee any results from your use of the Site or the Services.

2. Availability of Services

Cognitive Diagnostic Solutions operates subject to applicable laws and regulations. Our Services are available only in jurisdictions where such content and tools are lawful. By using the Site, you represent that you are not barred from accessing or using the Services under the laws of your location.

Accessing the Services from jurisdictions where content is illegal or where we do not offer Services is prohibited.

3. Ordering and Purchasing of Products or Services

A. Typographical Errors and Incorrect Pricing

In the event that any Product or Service is listed at an incorrect price due to a typographical error or an an error in information, Cognitive Diagnostic Solutions reserves the right to refuse or cancel any orders placed at the incorrect price. This applies whether or not the order has been confirmed or payment processed. If payment has already been processed, we will promptly issue a credit for the charged amount.

B. Online Payments

Certain Products or Services may be available for purchase through the Site. We accept credit and U.S. debit cards for these transactions. If you set up recurring payments, all charges will be billed to the designated payment method. You are responsible for maintaining accurate payment information and ensuring your payment method has sufficient funds or authorization.

By using online payments, you represent and warrant that:

  1. Any credit card, debit card, or bank account information you provide is true, accurate, and complete;
  2. You have authorization to use the payment method provided;
  3. All charges incurred will be honored; and
  4. You will pay all applicable charges, including taxes.

4. Eligibility; Site Access, Security, and Restrictions

To access the Site and Services, you must be 18 years of age or older, or have appropriate authority to consent to the use of the Site and Services under applicable law.

You agree to provide accurate and complete information when creating an account, including name, contact information, and password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree not to violate or attempt to violate the security of the Site, including but not limited to:

  • Using the Site in violation of these Terms or applicable law; or
  • Engaging in activities that impose an unreasonable load on the Site infrastructure.

You may not use automated means (scrapers, crawlers, robots, etc.) to access or copy data, bypass restrictions, or interfere with Site operations. Violations may result in civil or criminal liability. Cognitive Diagnostic Solutions may investigate such violations and cooperate with law enforcement authorities.

You are responsible for all equipment and fees required to access the Site, including internet access. Any unauthorized access or use terminates the permission granted to you by Cognitive Diagnostic Solutions.

From time to time, we may record interactions with the Site for quality assurance or training purposes. By using the Site, you consent to such recordings.

5. Privacy Practices

You agree that information provided by you in connection with the Services and the Site shall be governed by the Privacy Policy, which is incorporated into and made a part of these Terms of Use.

6. Electronic Communications

When you use the Site or Services, or send e-mails, messages, or other communications from your device, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that:

Cognitive Diagnostic Solutions may contact you by telephone, mail, or email to verify account information or request additional information to ensure account security and authenticity. Failure to provide requested information within fourteen (14) days may result in suspension, discontinuation, or denial of access to the Site or Services.

7. Consent to Receive Calls and Text Messages

By providing your mobile number, you consent to be contacted by or on behalf of Cognitive Diagnostic Solutions at the number you provided, including calls and text messages, to receive informational or Service-related communications (e.g., updates, reminders, announcements). Message and data rates may apply.

To stop receiving text messages, text the word STOP in response to the message. We may confirm your opt-out by text. Some Site features or notifications may no longer be available if you opt out, and you may not receive important informational updates about the Services.

8. Intellectual Property; Ownership of Site, Content, and Related Materials; Additional Restrictions

Subject to applicable law, Cognitive Diagnostic Solutions retains all right, title, and interest in and to the Site, Services, content (including educational resources, assessments, and other materials), software, and all related intellectual property, including copyrights, trademarks, service marks, patents, trade secrets, and other proprietary rights.

Subject to these Terms, Cognitive Diagnostic Solutions grants you a revocable, non-transferable, non-exclusive license to access and use the Site and its content for personal, non-commercial, informational, and educational purposes only. Any unauthorized use may violate federal or state law and may result in civil or criminal liability.

You may provide suggestions, comments, or feedback (“Feedback”) to Cognitive Diagnostic Solutions regarding its Services. By submitting Feedback, you grant Cognitive Diagnostic Solutions a perpetual, irrevocable, royalty-free, non-exclusive license to use, modify, and incorporate the Feedback into its business and Services without any obligation or compensation to you.

9. Accuracy of Information; Functionality

Although Cognitive Diagnostic Solutions attempts to ensure the integrity and accuracy of the Site and descriptions of its Services, it makes no representations, warranties, or guarantees regarding the correctness, completeness, or accuracy of the Site, Services, or other content. Cognitive Diagnostic Solutions does not control, endorse, or assume responsibility for the content, accuracy, or practices of third-party websites. Accessing third-party websites is at your own risk, and you should take appropriate precautions, such as using antivirus software.

Any use of such functionality is at your own risk, and subject to the terms of use and privacy policies of the third-party provider.

11. User Information

You agree to indemnify and hold harmless Cognitive Diagnostic Solutions from any claims, damages, or expenses, including reasonable attorney fees, arising from your submission or use of User Information.

12. Claims of Copyright Infringement

Cognitive Diagnostic Solutions respects the intellectual property rights of others and expects Users to do the same. We disclaim responsibility for copyrighted materials posted on the Site. If you believe that your work has been copied in a way that constitutes copyright infringement, please follow the procedures below.

Notices of alleged infringement should comply with the following requirements:

13. CAN-SPAM Act and Telephone Consumer Protection Act Compliance

Cognitive Diagnostic Solutions is committed to complying with the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA). By providing your contact information and opting in, you consent to receive communications from us, including emails, newsletters, and text messages, consistent with Section 7 above.

14. Disclaimer of Warranties

We make no warranties, expressed or implied, regarding the Site, Services, or any content contained therein, including, but not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.

We do not warrant that your access to or use of the Site or Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Files available for download from the Site are provided at your own risk and may contain viruses or other harmful components. You are responsible for implementing adequate safeguards to protect your devices and data.

Any warranties relating to products or services offered by third parties are provided solely by those parties. Cognitive Diagnostic Solutions is not responsible for any consequences resulting from the use or misuse of such products or services.

15. Limitation of Liability

To the fullest extent permitted by law, Cognitive Diagnostic Solutions and its affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Site, Services, or linked websites, including lost profits, lost data, or business interruption.

Your sole remedy for dissatisfaction with the Site or Services is to stop using them. If any limitation is unenforceable, our maximum liability to you is $500. You agree to waive any laws that limit the enforceability of such disclaimers or releases.

16. No Third-Party Rights

Unless explicitly stated, these Terms of Use do not grant rights or remedies to any third parties. They do not relieve any third-party obligations or confer any rights of subrogation or action against you, Cognitive Diagnostic Solutions, or its affiliates.

17. Assignment

You may not assign, transfer, or delegate these Terms of Use without our prior written consent. Cognitive Diagnostic Solutions may assign, transfer, or delegate any part of these Terms at its discretion. These Terms are binding upon, and inure to the benefit of, the permitted successors and assigns of the parties.

18. Dispute Resolution; Arbitration Agreement

We encourage good faith resolution of any issues. If a dispute arises, you and Cognitive Diagnostic Solutions agree that it will be resolved through binding arbitration, rather than courts of general jurisdiction, governed by the U.S. Federal Arbitration Act.

  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes.
  • Before initiating arbitration, a written notice describing the dispute and the relief sought must be sent to:

If resolution is not reached within 30 days of notice, arbitration may proceed. The arbitrator will decide on the scope, enforceability, and all issues under these Terms. The arbitration location will be LOCATION, unless otherwise agreed, and you may choose a hearing method for claims under $10,000.

Arbitration is individual-only. Class actions, consolidation, or representative claims are not allowed unless both parties agree. If this arbitration provision is found unenforceable, then exclusive jurisdiction will be in state or federal courts in New York, New York, while the remaining Terms remain in effect.

19. Force Majeure

Cognitive Diagnostic Solutions will not be held responsible or considered in breach of these Terms of Use or our Privacy Policy due to events beyond our reasonable control, including, but not limited to: acts of God, terrorism, war, invasion, public network failures, electrical shortages, earthquakes, floods, civil unrest, strikes, fire, or other disasters.

20. Indemnification

You agree to defend, indemnify, and hold harmless Cognitive Diagnostic Solutions and its affiliates (collectively, the “Indemnified Parties”) from any and all claims, losses, damages, liabilities, fees, or expenses (including reasonable attorney fees) arising directly or indirectly from:

  1. Your use or misuse of the Site, Services, or content;
  2. Your violation of these Terms of Use or the Privacy Policy;
  3. Any information you provide to Cognitive Diagnostic Solutions; or
  4. Any negligent or wrongful acts or omissions in connection with your use of the Site or Services, including infringement of third-party rights.

You agree to obtain our prior written consent for any settlement or judgment that implies fault of Cognitive Diagnostic Solutions or its affiliates. We will promptly notify you of any claims, provide necessary information, and give you control over the defense and settlement.

21. Waiver

The failure of Cognitive Diagnostic Solutions or its affiliates to enforce any provision of these Terms does not waive our rights to enforce the same or similar provisions in the future. We do not guarantee action against all breaches.

22. Revisions; General

Cognitive Diagnostic Solutions reserves the right to terminate or limit your access to the Site at any time, with or without notice or cause. We may modify these Terms of Use at any time, effective upon posting. Continued use of the Site after changes constitutes acceptance of the revised Terms.

If any provision is found unenforceable by a court, it will be limited or removed to the minimum extent necessary, while the remaining Terms remain in effect. These Terms, along with any other agreements you have with Cognitive Diagnostic Solutions, constitute the entire agreement between you and us regarding the subject matter herein.
